End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "User") and StatusQ Inc. ("StatusQ," "we," "our," or "us") for the StatusQ mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree to these terms, do not download, install, or use the App.

1. License Grant

StatusQ grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on Apple-branded products that you own or control, subject to the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

2. Scope of License

This license is for use of the App in connection with StatusQ's social dining services. You may not rent, lease, lend, sell, redistribute, or sublicense the App. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App, any updates, or any part thereof.

3. Acknowledgement

You acknowledge that this EULA is between you and StatusQ Inc. only, and not with Apple Inc. ("Apple"). StatusQ Inc., not Apple, is solely responsible for the App and its content. This EULA may not provide for usage rules that are less restrictive than or otherwise in conflict with the Apple Media Services Terms and Conditions as of the date you agreed to this EULA.

4. Maintenance and Support

StatusQ Inc. is solely responsible for providing any maintenance and support services with respect to the App, as specified in this EULA or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

5. Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. STATUSQ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be StatusQ's sole responsibility.

6. Product Claims

You acknowledge that StatusQ Inc., not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

7. Intellectual Property

The App and all content, features, and functionality (including but not limited to the StatusQ name, logo, FLOW personality type system, matching algorithm, design elements, and all associated intellectual property) are owned by StatusQ Inc. and are protected by copyright, trademark, and other intellectual property laws.

You acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, StatusQ Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

8. Legal Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third-Party Beneficiary

You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

10. Termination

This EULA is effective until terminated by you or StatusQ. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and destroy all copies of the App in your possession.

11. Additional Terms

Your use of the App is also governed by our Terms of Service and Privacy Policy. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall prevail except where this EULA addresses obligations specifically required by Apple.
